Terms of service

These Terms and Conditions of Use (hereinafter referred to as the “Terms and Conditions”) This Terms of Use (hereinafter referred to as the “Terms”) applies to the online shop (hereinafter referred to as the “Service”) provided by SPIRAL Inc. (hereinafter referred to as the “Shop”) provides on this website (hereinafter referred to as the “Service”). The “Terms and Conditions of Use” (hereinafter referred to as the “Terms and Conditions”) shall set forth the conditions of use of the online shop (hereinafter referred to as the “Service”) provided by Spiral (hereinafter referred to as the “Shop”) on this website. Registered users (hereinafter referred to as “Users”) are requested to comply with these Terms of Use. The registered users (hereinafter referred to as “Users”) are requested to use the Service in accordance with these Terms of Use.

Article 1.（adoption）

  1. These Terms of Use shall apply to all relationships between the user and our store regarding the use of this service.
  2. In addition to these Terms of Use, we may establish various rules and regulations regarding the use of this service (hereinafter referred to as “Individual Regulations”). Article 2.（User Registration）

  1. In this service, the registration for use is completed when the prospective registrant agrees to these terms and conditions, applies for the registration for use by the method specified by us, and when we notify the prospective registrant of our approval of the application.
  2. If we determine that the applicant has any of the following reasons, we may not approve the application for registration of use, and we are under no obligation to disclose the reasons.

Article 3.（User ID and password management）

  1. Users shall manage their user IDs and passwords for the Service at their own risk.
  2. Under no circumstances may a user transfer or lend his/her user ID and password to a third party, or share them with a third party. When a user logs in with a combination of user ID and password that matches the registered information, we will consider the use of the site to be by the user who has registered that user ID.
  3. We will not be liable for any damage caused by a third party's use of your user ID and password, except in the case of willful misconduct or gross negligence on the part of our store.

Article 4.（Contract for Sale）

  1. In this service, a purchase contract is considered to be formed when a user makes a purchase application to our store and our store notifies the user that we have accepted the application. Ownership of the product will be transferred to the user when our store delivers the product to the delivery company.
  2. We may cancel the purchase agreement described in the preceding paragraph without prior notice to the user in the event that any of the following events occur.
    1. If the User violates these Terms of Use
    2. In the event that the delivery of goods is not completed due to an unknown delivery address or prolonged absence of the customer
    3. In any other cases where we deem that the relationship of trust between our store and the user has been damaged.
  3. The method of payment, delivery, cancellation of purchase orders, or return of products related to this service shall be determined separately by our store.

Article 5.（intellectual property right）

The copyrights or other intellectual property rights of product photos and other contents (hereinafter referred to as “Contents”) provided by this service belong to the legitimate right holders such as our store and Contents providers, and users may not reproduce, reprint, modify, or make other secondary use of them without permission.
In the unlikely event that unauthorized use of content is discovered, a fee of 40,000 yen (excluding tax) per item will be charged, regardless of the content.

Article 6.（Prohibitions）

In using the Service, the User shall not engage in any of the following acts

  1. Acts that violate laws and regulations or public order and morals
  2. Conduct related to criminal activity
  3. Infringement of copyrights, trademarks, or other intellectual property rights contained in the Service
  4. Any action that destroys or interferes with the functionality of our server or network
  5. Commercial use of information obtained through this service
  6. Actions that may interfere with the operation of our services
  7. Unauthorized access or attempts to gain unauthorized access
  8. Collecting or accumulating personal information about other users.
  9. Act of impersonating another user
  10. Acts of providing benefits directly or indirectly to antisocial forces in relation to our services.
  11. Other activities that we deem inappropriate

Article 7 (Suspension of Provision of the Service, etc.)

  1. We reserve the right to suspend or discontinue all or part of this service without prior notice to the user for any of the following reasons.
    1. When performing maintenance inspections or updating of computer systems related to this service
    2. In the event that provision of this service becomes difficult due to force majeure such as earthquake, lightning, fire, power outage, or natural disasters.
    3. In the event of computer or communication line outage due to accident
    4. In any other cases where we deem it difficult to provide this service.
  2. We shall not be liable for any disadvantage or damage incurred by the user or any third party due to the suspension or interruption of the provision of this service, regardless of the reason.

Article 8.（Restrictions on Use and Cancellation of Registration）

  1. We reserve the right to restrict the use of all or part of the Service or terminate a user's registration as a user without prior notice in any of the following cases
    1. Violation of any of the provisions of these Terms and Conditions
    2. When it is found that there is a false fact in the registration information
    3. If the credit card that the User submitted as a means of payment is suspended.
    4. In the event of default in payment of fees and other obligations
    5. If you do not respond to our communications for a certain period of time
    6. When there has been no use of this service for a certain period of time since the last use.
    7. In any other cases in which we deem the use of this service to be inappropriate.
  2. We will not be liable for any damages incurred by the user as a result of any action taken by us under this article.

Article 9.（withdrawal from a group）

The User may withdraw from the Service through the prescribed withdrawal procedure.

Article 10.（Disclaimer of Warranty and Disclaimer of Liability）

  1. We do not warrant that the Service is free from defects in fact or in law (including safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, security or other defects, errors or bugs, infringement of rights, etc.). The Company does not warrant that the information on this site is free of defects (including, but not limited to, errors, bugs and infringements of rights).
  2. We are not responsible for any damages incurred by the user as a result of this service. However, if the contract between our store and the user regarding this service (including this agreement) is a consumer contract as defined in the Consumer Contract Act, this disclaimer does not apply. However, if the contract between our store and the user regarding this service (including this agreement) is a consumer contract as defined by the Consumer Contract Act, this disclaimer does not apply, but even in this case, our store will not be held liable for default or tort due to our negligence (except for gross negligence). Article 12.（Changes to Terms of Use）

We reserve the right to change these Terms and Conditions at any time without notice to the User if we deem it necessary. In addition, when a User starts using the Service after the modification of these Terms of Use, such User shall be deemed to have agreed to the modified Terms of Use.

Article 13.（Handling of Personal Information）

We will appropriately handle personal information obtained through the use of this service in accordance with our “Privacy Policy”.

Article 14.（Notification or contact）

Notification or communication between the user and our store shall be made by the method determined by our store. Unless the user notifies us of a change according to a method separately determined by us, we will assume that the currently registered contact address is valid and send the notice or communication to that address, which will be deemed to have reached the user at the time of transmission.

Article 15.（Prohibition of transfer of rights and obligations）

The User may not assign his/her position in the Usage Contract or rights or obligations under this Agreement to a third party or offer them as security without our prior written consent.

Article 16.（Governing Law and Jurisdiction）

  1. These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the Service.
